The Commercial Counsel will play a key role in providing strategic legal advice and support focusing on commercial transactions. The primary focus will be on revenue producing agreements and vendor agreements, and will also include other general corporate legal issues. This Commercial Counsel will work closely with senior leadership to ensure legal compliance and facilitate commercial initiatives.
Work collaboratively with stakeholders to ensure contract compliance for Statements of Work, Work Orders, Change Orders, and other agreements. Analyze, and revise various types of contracts and oversee contract lifecycle management. Assess potential risks within contract terms and Monitor compliance with contract terms and relevant regulations. Partner with cross-functional teams to resolve inquiries and challenges.
Reporting to the Manager, Contract Administration, the Contract Administrator will drive the contract management process from negotiation to execution and serve as the first responder in the Contract Administration department. This person will also register Raptor with various state and local agencies, manage the application and renewal process for joint purchasing associations/cooperatives, and own the process of cataloging Raptor’s contracts. The Contracts Administrator will work closely with sales, finance/accounting, and Raptor’s customers.
The Legal Operations and Contracts Administrator will be a key member of the StarRez Legal team, responsible for administering the contract lifecycle, managing contract workflows, and implementing operational best practices across our global legal function. This role includes supervising a global contracts administrator, serving as the system administrator for our Contract Lifecycle Management (CLM) platform, Lexion, and preparing legal performance metrics.
Independently review, draft, revise, interpret, and negotiate a broad range of agreements between Vimeo and its sales-assisted customers on a daily basis. You will work across departments and educate stakeholders on policies, procedures, and negotiation playbook. Assist in management and maintenance of Vimeo’s standard terms, templates, and processes with the goal of minimizing friction with customers and mitigating risk for the business.
Drafting, reviewing, and revising NDAs, commercial agreements, internal policies, and a range of other legal documentation; Enhancing legal workflows and operational effectiveness such as process automation, document standardization, and optimization; Participating in onboarding processes and partners due diligence, including the use of dedicated compliance and verification tools.
The Principal Proposal & Contract Strategist is a subject matter expert (SME)-level role responsible for shaping and executing enterprise-level governance across proposals and contracts.
